1. Scope
(1) Vanfleek.com ("Vanfleek.com") owns and operates an online
platform in Nigeria that allows merchants ("Sellers") to sell their
products to the public. This platform is currently accessible on the website https://vanfleek.com
and may expand to other websites or applications in the future.
(2) Sellers will have the opportunity to list and sell their products on
the Vanfleek.com platform. Vanfleek.com is authorized to accept purchases on
Sellers' behalf. Our service is limited to referring customers to Sellers and
facilitating transactions (orders and payments). Additionally, at
Vanfleek.com's discretion, we may provide Sellers with analytics on product
performance and marketing support, which may vary depending on the agreed-upon
commission structure.
(3) Sellers authorize Vanfleek.com to accept binding orders from
customers on their behalf.
(4) Vanfleek.com reserves the right to modify the website, services, or
temporarily suspend operations without prior notice.
2. Vanfleek.com's Rights and Obligations
(1) Sellers acknowledge that the relationship between customers and
Vanfleek.com is governed by Vanfleek.com's Privacy Policy and Terms &
Conditions, both available on the website.
(2) Vanfleek.com will present Seller-listed products on the website.
Sellers are responsible for creating their own product listings.
(3) Vanfleek.com is authorized to accept binding sales on Sellers'
behalf and will use commercially reasonable efforts to transmit order data to
Sellers.
(4) To maintain its reputation for quality and high standards,
Vanfleek.com reserves the right to terminate a Seller's account for repeated
negative reviews, complaints, or non-compliance with our recommendations.
3. Seller's Rights and Obligations
(1) Sellers are obligated to provide all necessary information when
listing a product on Vanfleek.com, including a detailed title, subtitle, price,
quantity, picture, and description. Sellers must never misrepresent their
products and must notify Vanfleek.com of any changes to their listings.
(2) Sellers guarantee that product information listed on Vanfleek.com
complies with all legal requirements and consumer protection regulations.
(3) Sellers are responsible for maintaining accurate inventory levels
for all listed products on Vanfleek.com.
(4) Sellers guarantee the information they provide doesn't violate any
third-party's intellectual property rights.
(5) Sellers will contact customers only as necessary to process
transactions referred by Vanfleek.com. This includes refraining from
unsolicited advertising emails or promotions without prior Vanfleek.com
approval or customer consent. When delivering products, Sellers will not
advertise Vanfleek.com competitors.
(6) Sellers will process and arrange delivery of orders with reasonable
care upon receiving confirmation through Vanfleek.com's email or SMS
notification. The advertised delivery options and timelines are binding. Orders
should be fulfilled within working days. Sellers are required to maintain
advertised products and services to the best of their ability. Repeated
stock-outs may result in removal from the Vanfleek.com platform.
(7) If a Seller cannot fulfill an order, they must notify Vanfleek.com
as soon as possible, within 1 day of receiving the order.
(8) Sellers agree to adhere to their listed product range, prices, and
associated terms (e.g., delivery fees) as provided to Vanfleek.com. Sellers
further guarantee they are not involved in any ongoing criminal, bankruptcy, or
tax proceedings. They are responsible for maintaining accurate product
information, stock counts, prices, and terms.
(9) Sellers must provide Vanfleek.com with a copy of their valid
government-issued ID at the time of contract signing.
4. Commission
(1) Sellers agree to pay Vanfleek.com a fixed percentage commission on the gross revenue from their
sales made through the platform. Depending on the category, different
commission rates may apply to certain products.
(2) Vanfleek.com may introduce additional fees for selling through the
platform, such as listing fees, multiple photo fees, or enhanced marketing
fees. Sellers will be notified in writing before implementing any new fees and
have the option to opt out.
(3) Vanfleek.com reserves the right to adjust the commission percentage
with reasonable notice provided to Sellers in writing. Adjustments constituting
a material change in contract terms would require an additional agreement.
5. Customer Online Payment
(1) Payment Processing: For electronic
customer payments (e.g., credit card, debit card, or online bank transfer),
Vanfleek.com will act as a payment processor and collect the payment for the
relevant order on behalf of the Seller. Vanfleek.com will then pay the Seller
according to the invoicing agreement.
(2) Receipt Retention: Sellers are required
to keep receipts for deliveries to customers for at least 5 months and make
them available upon request from Vanfleek.com. In case of order cancellations
or delivery failures, Sellers must promptly notify Vanfleek.com (e.g., within
24 hours) to facilitate potential payment cancellations or adjustments.
(3) Payment Risk: Sellers bear the risk of
payment method abuse (e.g., credit card fraud). If a fraudulent payment is
credited to a Seller's account, Vanfleek.com reserves the right to adjust the
invoiced amount to offset the fraudulent payment.
6. Invoicing and Seller Payment
(1) Invoice Delivery: Vanfleek.com will
issue invoices electronically (email) or through the Seller Center platform.
These invoices will detail Vanfleek.com's fees (commission and any applicable
additional fees) deducted from the Seller's gross sales revenue.
(2) Payment Schedule: Vanfleek.com will send
Sellers a monthly statement of confirmed orders by the 25th of each month.
Sellers will have a designated period (e.g., 5 days) to review the statement
and raise any discrepancies.
(3) Commission Payment: Unless there are
disputes requiring clarification (communicated to Vanfleek.com in writing
within the allocated timeframe), Sellers are obligated to pay their commission
to Vanfleek.com within 2 days of receiving the monthly statement.
(4) Direct Payment Handling: If a Seller
receives payments directly from customers for products sold on Vanfleek.com
(outside the platform's payment processing system), the Seller is still bound
to pay the agreed commission to Vanfleek.com within 4 days of receiving the
monthly statement.
(5) Payment Methods: Sellers' commission
payments to Vanfleek.com can be made through bank transfer or electronic
payment methods as specified by Vanfleek.com.
7. Liability
(1) Seller Indemnification: Sellers
indemnify Vanfleek.com from any claims arising from matters beyond
Vanfleek.com's control, including but not limited to: * Product quality and
safety issues * Seller non-compliance with laws and regulations * Customer
disputes related to the Seller's products or services
(2) Service Availability: While Vanfleek.com
strives to maintain a reliable platform, we cannot guarantee uninterrupted
service. We will make commercially reasonable efforts to resolve any service
disruptions.
(3) Tax Responsibility: Sellers are solely
responsible for all applicable taxes (e.g., VAT) associated with their sales on
Vanfleek.com. Vanfleek.com is not responsible for any tax liabilities incurred
by Sellers.
8. Privacy
Both Vanfleek.com and Sellers are obligated to
maintain the confidentiality of all information obtained through the
partnership, including:

written consent. This confidentiality obligation remains in effect for 2
year(s) after the termination of the agreement.

9. License
(1) Listing Management: Vanfleek.com
reserves the right to manage Seller listings and their placement on the
platform.
(2) Ratings and Reviews: Vanfleek.com offers
customers the opportunity to leave ratings and reviews about Seller products
and services. Vanfleek.com has the right (but not the obligation) to publish
these reviews on the platform. Vanfleek.com also reserves the right to remove reviews
at its discretion.
(3) Content Usage: Vanfleek.com may scan,
transcribe, and publish online Seller listings, logos, and other required
materials. Sellers grant Vanfleek.com a royalty-free, perpetual, unrestricted
license to use and distribute these materials for the purpose of promoting Vanfleek.com's
services. This may include use in online marketing campaigns (e.g., Google
Ads), domain name registrations, and search engine optimization (SEO) measures.
10. Termination
(1) Termination Notice: This agreement becomes effective upon Seller registration or fulfilment of a Vanfleek.com-referred order. It remains in effect
